Legal Disclaimer
Scope
This Disclaimer governs the relationship between ROMAN SKY MUSIC and the Customer for all commissioned audio works and related services. By placing an order the Customer accepts these terms.
Customer Representations and Warranties
Customer Warranty: The Customer warrants that all prompts, instructions, reference materials, and other inputs provided to ROMAN SKY MUSIC do not infringe any third‑party rights, do not request unlawful or defamatory content, and do not seek to imitate a living artist in a manner that would violate publicity or moral rights.
Accuracy: The Customer is responsible for providing accurate billing and contact information.
Liability for Customer‑Provided Content and Style Requests
No Provider Liability: ROMAN SKY MUSIC assumes no liability for the content, style, or subject matter requested by the Customer. If a delivered work gives rise to third‑party claims or legal action based on the Customer’s prompts or requested style, the Customer bears sole responsibility. ROMAN SKY MUSIC reserves the right to rely on and invoke this clause in any dispute.
Indemnification
Customer Indemnity: The Customer will indemnify, defend, and hold harmless ROMAN SKY MUSIC, its officers, agents, and affiliates from and against all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from the Customer’s inputs or the Customer’s use of the delivered works that infringe third‑party rights or violate applicable law.
License, Ownership and Commercial Use
Commercial Use Guarantee: Upon delivery and full payment, ROMAN SKY MUSIC guarantees that the Customer receives the right to commercially use the delivered audio files.
Assignment of Rights: To the extent permitted by applicable law, ROMAN SKY MUSIC assigns to the Customer all rights granted in the delivery confirmation. If applicable law does not permit assignment of copyright in purely AI‑generated works, ROMAN SKY MUSIC grants the Customer a worldwide, perpetual, transferable, and sublicensable license sufficient for commercial exploitation.
Exclusivity: Standard deliveries are non‑exclusive. Exclusive rights are available only by separate written agreement and additional fee.
Delivery, Storage and Deletion
Delivery: Deliverables are provided as digital files in the formats specified in the order.
Backup Retention: ROMAN SKY MUSIC will retain a backup copy of delivered files and associated prompt history for a period of 24 months from delivery. After 24 months the backup copies will be permanently and irretrievably deleted.
Customer Responsibility: Customers must maintain their own backups. ROMAN SKY MUSIC is not responsible for loss of customer copies after delivery.
Distribution and Additional Services
No Distribution Service: ROMAN SKY MUSIC does not provide distribution to streaming platforms, stores, or third‑party services unless expressly contracted in writing. Distribution, publishing, and monetization actions are the responsibility of the Customer unless otherwise agreed.
Optional Services: Stems, mastering, exclusivity, and express delivery are available for additional fees and subject to separate terms.
Refunds, Revisions and Quality
Refunds: Refunds are limited and issued only for demonstrable technical failures in delivery. The maximum refund is the amount paid for the affected deliverable.
Revisions: Minor revisions are included as specified in the order. Major reworks may incur additional fees. ROMAN SKY MUSIC does not guarantee stylistic match to a living artist or a specific copyrighted work.
Limitation of Liability
Cap on Liability: ROMAN SKY MUSIC’s total liability for any claim arising from or related to the services is limited to direct damages not to exceed the total amount paid by the Customer for the relevant order.
Exclusion of Damages: ROMAN SKY MUSIC is not liable for indirect, incidental, consequential, special, or punitive damages.
Proof of Generation and Recordkeeping
Proof Provided: Each delivery includes documentation evidencing generation in a Suno Pro account, the exact prompt texts used, and a license confirmation. ROMAN SKY MUSIC will provide copies of retained records to the Customer upon reasonable request during the 24‑month retention period.
Privacy and Data Use
Personal Data: ROMAN SKY MUSIC processes Customer data only as necessary to perform the services and in accordance with applicable data protection laws. Personal data retention follows the backup retention period stated above. For detailed privacy practices consult our privacy policy.
Governing Law and Jurisdiction
Governing Law: These terms are governed by the laws of Germany.
Jurisdiction: Exclusive venue for disputes is the competent court in Düsseldorf, Germany unless otherwise agreed in writing.
Entire Agreement and Severability
Entire Agreement: This Disclaimer, the Order Confirmation, and the License Confirmation constitute the entire agreement between the parties regarding the commissioned works.
Severability: If any provision is held invalid, the remaining provisions remain in full force.
